Please carefully read the “Terms & Conditions”, which includes important information relating to your legal rights, remedies and obligations, especially terms of exemption or limitation of liability, terms of jurisdiction and application of laws and separate agreements to open or use certain services. Access to or use of Stey Platform represents that you agree to comply with and be subject to the “Terms & Conditions.”

1. Scope of Terms & Conditions

   1. The “Terms & Conditions” (“Terms & Conditions”) constitutes a legally binding agreement between you and Stey and will be applicable for your access to and use of Stey website (including any sub-domain therein) and any other websites whereby Stey provides services (collectively referred to as “Websites”) and all relevant services (collectively referred to as “Stey Services”). Websites and Stey Services are collectively referred to as “Stey Platform” hereinafter. The privacy policy and other policies applicable for you to use Stey Platform will become part of this Agreement by reference. When you are using Stey Services, there may be otherwise separate agreements, relevant business rules, etc. (hereinafter collectively referred to as “Separate Agreements”). A Separate Agreement, once officially released, shall be an integral part of this Terms & Conditions and shall be observed as well. Your acceptance of any foregoing policy and Separate Agreements shall be deemed a complete acceptance of this Agreement.
   2. “Stey” or “We/Us/Our” referred to in the “terms & Conditions” means Beijing Jiuli Hotel Management Co., Ltd that concludes a contract with you and the affiliates that provide related services. You may covenant with a certain affiliate of us when concluding Separate Agreements for using part of Stey Services.
   3. With respect to your personal information and content that we collect and use relating to your access to and use of Stey Platform, see our Privacy Policy for details.
   4. Any payment service for using Stey Platform will be provided by [ping++], and in addition to this Agreement, you shall also comply with its user agreement.
   5. Certain part of Stey Platform uses the map service of Amap, including Amap service application programming interface (API). You are required to comply with the usage terms of Amap during your use.

2. Amendment of the Terms & Conditions

   1. We may amend the Terms & Conditions at any time, therefore, please frequently return to this Website for consultation. We may add, change or completely terminate our Services from time to time. If we believe that a reasonable and significant amendment has been made to the Terms & Conditions or our Services, we will notify you through our Websites, by a direct contact with you or in other ways prior to the effectiveness of this amendment. With respect to any amendment of the Terms & Conditions or our Services, whether we issue a notice or not, your continuous use of our Services will represent that you agree to be subject to the amended Terms & Conditions.

3. Account Registration and Management

   1. You shall register an account (“Stey Account”) before your access to and use of specific functions of Stey Platform, such as Room Reservation Service.
   2. You shall be at least 18 years old and be capable of concluding a legally binding contract to get access to and use Stey Platform or register a Stey account. Your access to and use of Stey Platform will represent that you state and guarantee that you have been 18 years old with full capacity for civil conduct. If you register an account for a company or other entity, you guarantee that you have the right to represent and bind this entity legally and to grant us all permissions and licenses provided in the “Terms & Conditions.”
   3. Stey may take compliance with certain conditions or requirements as a condition for users to get access to and use Stey Platform or specific functions, such as completion of questionnaires, identity verification procedure or reservation and unsubscribing history, etc.
   4. For the difficulty to verify the users via Internet, we will not assume any liability for identification of any membership. Nevertheless, to the extent that applicable laws permit, we may (but without such obligations to): (i) require users to provide some form of government identification or other information, or make additional examination that may help verify the user identity or background, (ii) screen users based on the database from a third party or other sources, and (iii) in the case of our sufficient information to confirm the user identity, acquire public records of the condemned acts or registered sexual assaults, or the equivalent background or verification of registered sexual assaults in your jurisdiction (if available).
   5. Unless authorized by Stey, you shall not register more than one (1) Stey Account. You shall not transfer your Stey Account to another party by assignment or other ways. Your account name, user ID number and other identification data used in our Services scope are all our properties, and we may cancel, retrieve and reuse such data after your account is terminated or withdrawn by you or us regardless of the reasons.
   6. You shall be responsible for: (I) custody of any password to get access to your account and our Services, and (ii) all using behaviors made to our Services via your account. In the case that you’ve found or doubted that your account or password might be disclosed, you shall notify us as soon as possible. Unless we have received and confirmed the receipt of your notice given to us relating to the disclosure of your account/password, we shall deem that all the uses of your account within our Services are made by you. The responsibility for the possible account or password theft caused by your improper custody shall be assumed by yourself.

4. Your Content

   1. When you use our Services or participate in or initiate activities via our Services to submit, upload, publish, generate, transmit or display any data, materials, information, images, media, works or other content (“Your Content”), you agree and know that:

      (i) you shall authorize us and our affiliates to collect, store, use and dispose Your Content free of charge, including production of derivative works based on Your Content and public display and performance of Your Content for the purpose of provision, publicity, promotion and improvement of our Services;

      (ii) we may collect, store, use and dispose the names that you use for submission of Your Content (including your account name, real name or other names) and your portrait or photography works that contain your portrait as well as personal information that you upload to Stey Platform;

      (iii) when using Your Content, we and our affiliates may duplicate, adapt, compile, amend, translate, issue and publish Your Content through any publishing method in any media all over the world; and

      (iv) we may share Your Content with any third party, except our affiliates, which assists us in the provision, publicity, research, development and improvement of our Services, and such third party may be allowed to use Your Content. But we shall not sell Your Content to such third party for purposes unrelated to our Services.

   2. You agree that we and our affiliates:

      (i) may retain and continue to use Your Content after you cease to use our Services; and

      (ii) retain or disclose Your Content in order to abide by relevant laws and regulations or requirements of courts and government agencies; and

      (iii) disclose Your Content (including any data relating to your account opened at Stey) for the requirement of completing merger, division, acquisition or assets transfer, or protecting the rights, property or security of us or our affiliates or other users of our Services, or for provision of services at your request.

   3. You shall be responsible for Your Content and shall not use Stey Services to engage in behaviors that violate laws and regulations, including but not limited to:

      (i) issuance, transmission, spread, storage of the content that may harm national security and unity, destroy social stability, violate public order and good custom, and content of insult, slander, obscenity, violence and any content that violate state laws and regulations;

      (ii) issuance, transmission, spread, storage of the content that may infringe others’ intellectual property rights, trade secrets or other legal rights;

      (iii) malicious fictional facts or concealing truth to mislead or deceive others;

      (iv) issuance, transmission, spread of advertising information and spam;

      (v) other behaviors prohibited by laws and regulations.

   In case of your violation of this term, related state organs or institutions may file a lawsuit against, impose a fine on or take other punitive measures to you and require our assistance. You shall indemnify the damage incurred thereby pursuant to laws and we shall not assume any liability.

   1. You promise and guarantee that: (i) you have full right of Your Content and are entitled to authorize us all rights under the Terms & Conditions; (ii) Your Content does not infringe rights of any third party and our use of Your Content in accordance with your authorization will not constitute an infringement on any third party’s rights or violation of any law and regulation.
   2. If we receive a notice from the obligee who claims that the content you send or spread infringes his or her relevant rights, you agree that we have the right to judge independently and take such measures as deleting, shielding or disconnecting the links, etc.
   3. Our collection, storage, transmission and use of Your Content shall not violate relevant laws and regulations, and shall be applicable and subject to our “Privacy Policy.”

5. Content and Services of Third Parties

   1. On Stey Platform, there may be content from third parties or links access to third parties (e.g. All the career information in Career column is from a third party’s platform and it will skip to a third party page when you click on the career content), or services provided by third parties and we shall neither be liable for, nor recognize, support or guarantee the legality, authenticity, accuracy and applicability of any content linked or displayed by Stey (including any of Your Content or other content provided by other users or Stey’s advertisers), and any content submitted to Stey. You acknowledge and agree that you may encounter inaccurate, misleading, scandalous, disgusting or illegal content when you are using our Services. Any risk arising out of your reliance on or use of any content acquired or obtained from our Services shall be assumed by yourself. Your use does not vest any right in you for such content that you acquire or obtain for use of our Services.
   2. We shall neither guarantee the quality, reliability or appropriateness of any service of a third party provided, publicized or linked through our Services, nor be liable for your use of a third party’s services. In case of your access to services of a third party through our Services, you shall comply with any term and condition applicable to such services.
   3. The content and services of a third party provided by Stey Platform may be subject to other terms, such as terms and conditions of the third party that provide services. In this case, you agree to comply with more terms and detailed rules with respect to the content and services of such third party.
   4. Our Services may contain advertisements. You agree that we may add, display or otherwise deliver advertising or commercial content in the Stey Services, which will be distinguished from the services that have been paid (when it’s reasonable and practical). You additionally agree that we shall use advertisements towards targeted groups and try to provide advertisements that are more suitable and helpful for you.

6. Intellectual Property Rights

   1. The Intellectual Property Rights of all services, software provided through Stey Platform (including any update, upgrade and new versions thereafter) and content provided in the Services (including but not limited to web pages, texts, pictures, audios, videos, charts, etc.) shall be owned by us or our authorized party. Unless otherwise explicitly specified in the Terms & Conditions, you have no right to use our Intellectual Property Rights. Especially, without a prior written consent of Stey, you have no right to use our trademarks, product names (e.g. Stey, Joyee), corporate names, domain names or other business logos or intellectual achievements. You are voluntarily providing us any comment, suggestion or evaluation relating to our Services, and we may use such comment, suggestion or evaluation at our discretion and shall need to neither pay any fee, nor assume any responsibility for you.
   2. If our Services require you to download and use any software provided by Stey, we will grant you the limited, personal, non-exclusive, non-sublicensing, non-transferable, revocable software license to facilitate your use of our Services in accordance with the Terms & Conditions (including Separate Agreements or business rules that this software refers to). Unless you have obtained a prior written consent from us, you shall not duplicate, modify, decompile, disassemble, attempt to extract source codes from our software or make any derivative work. Your use of any of our software may also be limited by other separate agreements.
   3. All other rights not expressly authorized by this article and other terms of this Terms & Conditions are reserved by Stey and you must obtain our written permission to exercise these rights. Failure by Stey to exercise any of the foregoing rights shall not constitute a waiver of such rights.

7. Use of Equipment

   1. To provide you with our Services, we are required to access your relevant equipment (e.g. mobile phones, tablets or laptops), for example, we may be required to use the processor and storage device of your equipment to complete related software installation, or access your contact list so as to provide certain interactive functions within our software. You agree that we access your equipment for the foregoing reasons.
   2. We will process any use of the personal data in your equipment in accordance with our “Privacy Policy.”
   3. We will not be liable for any fee of a third party arising out of your use of our Services or software.

8. Exemption and Limitation of Liabilities

   1. You understand and agree that all our Services and software are provided “as is”. We will to the greatest extent provide you with services to guarantee the consistency and security of services; however, Stey neither makes any representation, warranty, nor gives any promise to our Services, software or any content submitted, provided or displayed through Stey Services, including any representation, warranty or promise with respect to: (i) our Services or software being disturbance-free, safe, error-free or virus-free; (ii) compatibility of our Services or software with your equipment; or (iii) that our Services or software will be of merchantable quality, fit for a particular purpose or infringe none of any other’s intellectual property rights.

   2. You acknowledge that certain activities, especially those activities sponsored and organized by Stey users on their own, for which Stey does not provide destinations or sites, may have internal risks, and your participation in these activities means that you choose to assume the corresponding risks at your free will. For example, certain activities may have the risks that cause diseases, body injury, disability or death, and your decision to participate in these activities will represent that you completely assume these risks at your free will. You shall assume all liabilities for those decisions that you make prior to, during and subsequent to your participation in these activities. In case of bringing minors to participate in these activities, you will completely assume the liability of a guardian for such minors, and to the greatest extent permitted by laws, you agree that you will exempt Stey from and hold Stey harmless against any form of liabilities and claims arising out of any personal injury, death, loss or damage that minors suffer during these activities or related activities.

   3. You understand and agree that in the use of this Service, you may encounter force majeure and other risk factors to interrupt the Service. Force majeure refers to the unforeseeable, insuperable and inevitable objective events that will cause significant impact on one or both Parties, including but not limited to natural disasters such as floods, earthquakes, epidemic plagues, storms, etc., and social events such as wars, turmoil, government actions, etc. Under foregoing circumstances, we will at the earliest time try to cooperate with related units to fix the problem, however, to the extent permitted by laws, we shall be free from the liability for losses caused to you thereby.

   4. To the extent permitted by laws, we are not liable for Service interruption or obstruction caused by the following circumstances:

      (i) destroy caused by computer viruses, Trojans or other malicious programs, hacker attacks;

      (ii) failure of computer software, system, hardware and communication lines of users or us;

      (iii) improper operation of users;

      (iv) use of this Service in a manner unauthorized by Stey;

      (V) other circumstances that Stey cannot control or reasonably foresee.

   5. You understand and agree that during the use of this Service, you may encounter risks arising from network information or other users’ acts, and we shall be neither liable for the authenticity, applicability, legality of any information, nor for the damage caused by infringement acts to you. These risks include but are not limited to:

      (i) anonymous or pseudonymous information from others that contains minatory, slanderous, disgusting or illegal content;

      (ii) any psychological and physiological harm as well as economic losses caused or possibly caused by others’ misleading, deception or other factors for the use of services under this Agreement;

      (iii) other risks arising from network information or users’ acts.

9. Liabilities

   1. To the extent permitted by laws and regulations, for all the claims arising from the Terms & Conditions, or Stey’s Services or software in any case, our payment for indemnity shall not exceed the larger amount between the following two items: (i) the amount paid for use of specific services or software relating to a claim 6 months prior to the date that you file such claim for the last time; and (ii) [RMB 1000 yuan].
   2. You agree that you will exempt Stey and Stey’s officers, directors, employees and agents from the liabilities for, (in accordance with our decision) defend, indemnify them against and hold them harmless from any claim, liability, damages, losses and expenses (including but not limited to reasonable attorney and accounting fees) caused to them by the following reasons or any related circumstances: (i) your violation of the “terms & Conditions”, our policies or standard, (ii) your improper use of Stey Platform or any Stey Service, (iii) any type of (compensatory, direct, occasional, consequential or other) harm, loss or damage relating to or caused by those acts including but not limited to your communication with any member, stay on any accommodations not provided by Stey, participation in experience, activities or services provided by other service suppliers. (iv) your violation of any law and regulation or infringement on a third party’s rights.

10. Termination

    1. The Terms & Conditions shall be applicable to the term from your use of our Service till you or we terminate your access to relevant Services.
    2. We may suspend or terminate your access to your Stey Account or any or all of our Services: (i) if we reasonably believe that you have violated the Terms & Conditions; (ii) if your use of Stey Services causes risks to us or other Stey users, may cause us to face a threat from a third party to file claims, or may affect our reputation; (iii) if you haven’t used our Services for quite a long time; or (iv) for any other reasons. In the reasonable and feasible case, we will give you the notice of suspension or termination of Services.
    3. After termination of the Terms & Conditions, we will retain and use Your Content in accordance with the Terms & Conditions and our “Privacy Policy.” In case of our suspension or termination of certain Service, or your or our termination of your access to our Services, we will not guarantee that we can get any of Your Content back to you, and we may permanently delete Your Content at any time after termination of the Services without notice. Please ensure that Your Content is archived regularly.

11. Applicable Laws and Disputes Settlement

    1. The conclusion, validity, performance, interpretation and disputes settlement of this Agreement shall be applicable to laws of mainland of the People’s Republic of China (excluding laws of conflict).
    2. This Agreement is concluded in Chaoyang District of Beijing in the People’s Republic of China.
    3. In case of any dispute or controversy between you and Stey, it shall be settled through friendly negotiation first; in case of failure of negotiation, you agree to submit the dispute or controversy to the competent People‘s court at the place of concluding this Agreement (namely Chaoyang District of Beijing in China) for jurisdiction.

12. Miscellaneous

    1. The Terms & Conditions constitute the entire agreement concluded by and between you and us with respect to our Services.
    2. The invalidity, illegality or unenforceability of any provision in the Terms & Conditions shall not affect the validity, legality or enforceability of the remaining provisions in this Agreement.
    3. Stey’s failure to exercise any right or provision herein will not constitute a waiver of such right or provision. Such waiver shall be effective only after our written confirmation and consent. Unless otherwise explicitly specified in the “Terms & Conditions”, any party’s exercise of any remedy hereunder will not affect its exercise of other remedies herein or permitted by laws.
    4. You shall not assign, transfer or authorize others to perform this Agreement and your rights and obligations under this Agreement. Stey may, at its own discretion, via a 30-day prior notice, assign, transfer or authorize others to perform this Agreement and any rights and obligations under this Agreement without limitation. Your right to terminate this Agreement at any time will not be affected.
    5. This Agreement is made in Chinese and English with the same force; in case of any conflict between the two versions, the Chinese version shall prevail.
    6. If you have any comment or suggestion to this Agreement or the Services, or hope to report infringement, malicious information and other matters, you may contact Stey’s customer service department services@stey.com.
